In early 2024, Delaware Chancery Court Judge Kathaleen McCormick stunned the business world by voiding Musk’s massive $56 billion pay package. The ruling painted Tesla’s board as lacking independence and raised serious concerns about corporate governance. McCormick described the process as “deeply flawed,” arguing Musk exercised too much influence over the very people tasked with overseeing him.
For critics of Musk, it was a rare victory. For Musk, it was a warning shot.
Fast forward to late 2025, and the Delaware Supreme Court reversed that decision, restoring Musk’s compensation in full. But by then, the billionaire entrepreneur had already begun preparing a far more significant response—one that would ensure such a challenge could never happen again.
